Pongverse Terms of Service

Please read these Terms of Service carefully.

These Terms of Service (“Terms”) form a legally binding agreement between you and [Pongverse Legal Entity] and its affiliates and subsidiaries (“Pongverse”, “we”, “us”, or “our”). By accessing or using the Pongverse website located at [https://www.pongverse.com] (the “Site”) and/or our mobile application (the “Application” and, together with the Site, the “Pongverse Platform”), you agree to be bound by these Terms.

These Terms also govern your access to and use of Pongverse Spaces (as defined below), any Pongverse Coaches (as defined below), and any events or group bookings you may host in Pongverse Spaces. The Pongverse Platform, Pongverse Spaces and Pongverse Coaches are referred to together as the “Services”.

Important: Our booking and in-app features may not yet be fully available. Certain provisions below describe functionality that will launch in the future (for example, online reservations and payments). Those provisions will apply once such features go live.

Pongverse may change or update these Terms from time to time, at our sole discretion and without prior individual notice. The updated Terms will be effective when posted on the Site. Your continued use of the Services after any changes are posted means that you accept the revised Terms. You are responsible for reviewing the most current version.

Our Privacy Policy, which applies to your use of the Pongverse Platform, is incorporated into these Terms by reference and is available at [https://www.pongverse.com/privacy-policy].

1. Eligibility and Use of the Services

You may use the Services only for your own personal, non-commercial use and in compliance with all applicable laws, regulations, and rules of the country, state, and city in which you access the Services.

By using the Services, you represent and warrant that:

• You are at least 18 years of age and have full legal capacity to enter into a binding contract; and

• You are not prohibited from using the Services under any applicable laws.

“Guests” means any other persons whom you invite or allow to access Pongverse Spaces or interact with Pongverse Coaches, whether or not such persons have their own Pongverse account.

“Pongverse Space(s)” means any physical location, room, pod, area, or venue to which Pongverse provides access for the purpose of playing table tennis / ping pong or participating in related activities. In addition to these Terms, you agree to comply with any rules, conditions, and policies imposed by the owner, landlord, tenant, or property manager of the building where a Pongverse Space is located (for example, building security rules, IT access rules, and house rules posted on site).

“Pongverse Coach(es)” means individuals who provide coaching or training services related to table tennis / ping pong to you or your Guests through the Pongverse Platform or at Pongverse Spaces. Pongverse does not guarantee that any particular coach will meet your expectations or that coaching will produce any specific results.

2. Account Registration; Access

To use most of the Services (once fully launched), you will need to create a user account with Pongverse (an “Account”) via the Site or the Application at [https://app.pongverse.com] (or such other URL as we may designate).

You are responsible for ensuring that any Guests who access the Services at your invitation also create their own Account where required.

You agree:

• Not to allow any person who does not have a valid Pongverse Account to enter a Pongverse Space or use the Services;

• Not to allow your Guests to use the Services without your supervision, unless they have their own valid Account and are permitted under these Terms and any posted rules.

You may not authorize any other person to use your Account, and you may not assign or transfer your Account to any other person or entity. You remain responsible for all activity occurring through your Account.

To create an Account, you may be asked to provide certain personal information, such as your name. To access and/or pay for any Services (once payments are enabled), you will be asked to provide additional information such as your email address, mobile phone number, and payment details.

We may use a third-party payment processor (such as Stripe or another provider) (the “Payment Processor”) to process payments or credits related to the Services. Your payments will also be subject to the Payment Processor’s own terms, conditions, and privacy policy as well as the terms of your card issuer. Pongverse is not responsible for any error, omission, fee, or damage attributable to the Payment Processor. For more details on the personal data we collect and how we use it, please see our Privacy Policy.

You agree to keep all information in your Account complete, accurate, and up-to-date. If your information (including your payment method) is inaccurate or outdated, your ability to use the Services may be limited or suspended.

Pongverse may suspend or terminate your Account and/or refuse any current or future use of the Services if:

• You or your Guests violate these Terms;

• You provide information that is untrue, inaccurate, not current, or incomplete; or

• We reasonably suspect that such information is untrue, inaccurate, not current, or incomplete, or that your use is fraudulent or illegal.

You may not use the Services for any unlawful purpose or in any way inconsistent with these Terms.

3. Pongverse House Rules for Use of the Services

By accessing or using any Pongverse Space, you agree to comply with the following rules (the “House Rules”), and you are responsible for ensuring that your Guests comply as well.

a. Guests Must Be Registered

• You are fully responsible for the conduct and safety of any Guests you bring into a Pongverse Space.

• You must inform your Guests of these Terms and all posted rules and ensure they follow them.

• You will not allow any person to enter a Pongverse Space without a Pongverse Account if such an Account is required.

• You will not allow your Guests to use the Services without appropriate supervision where required.

• You may be held liable for any damage or violation caused by your Guests.

b. Events and Large Groups

If your group consists of more than [8] people for a single reservation or session, you may be required to book a group event (“Event”) through our events team at [events@pongverse.com] (or another email address we provide), and to sign a separate event agreement. These Terms will continue to apply to all use of Pongverse Spaces in connection with such Events.

c. Prohibited Conduct

You and your Guests agree not to:

• Use the Services for any inappropriate, unsafe, or illegal purposes, including but not limited to drug use, alcohol abuse where prohibited, gambling, prostitution, pornography, sexual activity, violent or threatening behavior, or any activity unrelated to playing table tennis or compatible social use, or any activity likely to damage Pongverse’s reputation.

• Smoke or vape in any Pongverse Space, or use candles, incense, open flames, or any other items that may cause smoke, vapors, fire, or fumes.

• Create unreasonable noise, play excessively loud music, or otherwise disturb other users, neighbors, or other tenants in the building.

• Damage, alter, remove, or tamper with any fixtures, equipment, furniture, technology, locks, or appliances in the Pongverse Space.

• Allow minors (individuals under 18 years old) to use a Pongverse Space without at least one supervising adult (18+). We may require at least one adult supervisor per four minors, or another ratio specified in our rules or local law.

• Charge any fee to others in connection with the use of a Pongverse Space (for example, to run private lessons or events) without Pongverse’s prior written consent.

d. Required Conduct

You and your Guests agree to:

• Treat all other users, neighbors, building occupants, and Pongverse Coaches in a respectful, courteous, and appropriate manner at all times.

• Wear appropriate clothing while in the Pongverse Space, including shirts and suitable bottoms (shorts, pants, skirt, dress, etc.), and appropriate footwear. Clothing must not contain obscene or offensive messages or imagery. Clothing changes may only be done in designated private areas (such as bathrooms).

• Follow all additional rules, policies, and instructions communicated by Pongverse, Pongverse Coaches, property managers, or that are posted within the Pongverse Spaces.

• Leave the Pongverse Space in a clean, tidy, and undamaged condition. You may be held liable for repair or cleaning costs beyond normal wear and tear.

• Provide Pongverse, Pongverse Coaches, or property managers with proof of identity if reasonably requested.

e. Personal Property

You are solely responsible for any personal belongings that you or your Guests bring to a Pongverse Space. Pongverse is not responsible for any lost, stolen, forgotten, or damaged property.

f. Reporting Misconduct

If you believe that any person in a Pongverse Space (or interacting with you via the Pongverse Platform) is acting inappropriately—such as engaging in violent, offensive, or sexually inappropriate behavior, or if you suspect theft or other troubling conduct—you should:

1. Immediately contact local authorities if appropriate and safe to do so; and

2. Promptly report the incident to Pongverse at [support@pongverse.com] (or another contact method we provide), including any police report numbers if applicable.

Your report does not obligate Pongverse to take any action beyond what is required by law.

4. Consent to and Acknowledgement of Video Surveillance and Recordings

a. Video Surveillance

For the safety and security of users, employees, and property, Pongverse may install and operate video surveillance systems in Pongverse Spaces, which may be monitored by Pongverse or third-party security providers.

By using a Pongverse Space, you and your Guests:

• Acknowledge that video surveillance may be in operation; and

• Consent to being recorded for security, safety, and operational purposes.

We generally use this footage only for lawful business purposes and do not share it with third parties except as required by law, to our service providers (such as security companies), or as otherwise described in our Privacy Policy.

b. Video Replay and Performance Recordings (If Enabled)

The Services may include technology that records gameplay or specific actions (for example, replaying a certain point or rally). By using such features:

• You consent to being recorded and to your name, image, and likeness appearing in such recordings together with any Guests and other users in the Space.

• You grant Pongverse the right to use such recordings for any lawful purpose, including but not limited to service improvement, analytics, product development, and, where permitted by law and by our Privacy Policy, marketing and social media.

• We may share recordings with trusted third-party service providers who help us operate and improve the Services.

• We may keep recordings for as long as reasonably necessary for the purposes for which they were collected or as required by law, and may delete or anonymize recordings at our discretion.

5. Limited License to Use the Pongverse Spaces

Your access to Pongverse Spaces constitutes a limited, revocable, non-exclusive, non-transferable license to use the applicable space, subject to these Terms and any other policies we communicate.

This license does not create any lease, tenancy, or real property interest.

Pongverse may restrict, suspend, or terminate your access to Pongverse Spaces at any time for reasons including (but not limited to) suspected fraud, trespassing, misconduct, or violation of these Terms or any posted rules.

6. Damages, Repair or Cleaning Fees; Infractions

You agree to leave each Pongverse Space and all property therein in substantially the same condition as when you entered.

You are responsible for:

• Your own acts and omissions; and

• The acts and omissions of your Guests or anyone else to whom you provide access.

If, in Pongverse’s reasonable judgment, your use (or your Guests’ use) causes damage to a Pongverse Space or requires cleaning beyond normal wear and tear, Pongverse may:

• Charge your stored payment method for the reasonable costs of repair or extra cleaning; and

• Charge an additional service fee up to [LOCAL MAX AMOUNT – e.g., €500] per occurrence.

These amounts are non-refundable and determined at Pongverse’s reasonable discretion.

Pongverse may also maintain an Infractions Policy, which may set out additional fees or consequences for specific rule violations. If so, it will be available at [https://www.pongverse.com/infractions-policy] and is incorporated by reference into these Terms.

7. Payment Terms; Authorization Hold

(for when booking & payments go live)

When online booking and payments are enabled, the following will apply:

• All fees for Services (including table bookings, Events, or coaching) will be displayed on the Site or Application at the time of purchase and are generally inclusive of any applicable taxes, unless stated otherwise.

• Fees are typically non-refundable, except as explicitly provided in our cancellation or refund policies.

We may place a temporary authorization hold on your card to confirm that sufficient funds are available. This is not an immediate charge, and the timing for release of any hold depends on your bank or card issuer.

If you exceed the duration of your booking in a Pongverse Space or with a Pongverse Coach, you agree that Pongverse may charge you for the additional time at the applicable rates.

If your payment method is declined or becomes invalid:

• We may notify you and request a valid replacement;

• Failure to provide a valid payment method within a reasonable time (e.g. 48 hours) may result in suspension of your Account and access to the Services;

• You remain responsible for any outstanding amounts plus any non-refundable processing or chargeback fees.

Pongverse may change pricing, fee structures, and payment terms at any time, subject to applicable law and with notice where required.

If you access the Services from a mobile device, your carrier’s standard data and messaging rates may apply.

8. License, Restrictions and Copyright Policy

Subject to your continued compliance with these Terms, Pongverse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Pongverse Platform for its intended purposes.

All content and materials available on or through the Pongverse Platform remain the property of Pongverse or its licensors.

You agree not to:

• Copy, modify, decompile, reverse engineer, reproduce, distribute, sell, license, publicly perform, publicly display, transmit, or create derivative works based on any part of the Pongverse Platform or any content therein, except as expressly permitted in these Terms;

• Circumvent any security or technological protections used by Pongverse to safeguard the Platform.

No rights or licenses are granted to you by implication or otherwise, except as expressly stated in these Terms or in a separate written agreement with Pongverse.

9. User Content; Chat Functionality

Pongverse may, at its discretion, allow you to post, upload, submit, or transmit content via the Services (“User Content”), including text, images, videos, messages, profile details, comments, and other materials.

You are solely responsible for all User Content you submit or make available through the Services.

By making User Content available via the Pongverse Platform or in Pongverse Spaces, you grant Pongverse a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, transferable, and sub-licensable license to use, copy, adapt, modify, distribute, display, perform, and otherwise exploit such User Content for any lawful purpose in connection with operating, promoting, and improving the Services.

You represent and warrant that:

• You own or have all necessary rights and permissions to grant the above license; and

• Your User Content and our use of it will not infringe any third-party rights or violate any law.

You agree to indemnify Pongverse for any loss or liability arising from your breach of this warranty.

Chat Functionality

If Pongverse provides an in-app chat or messaging feature (“Chat Service”), you agree to use it responsibly and lawfully. In particular, you will not use the Chat Service to:

• Send content that is defamatory, harassing, offensive, hateful, threatening, abusive, or illegal;

• Conduct commercial advertising, promotion, or solicitation of goods or services;

• Share content that violates privacy or intellectual property rights of others.

Pongverse does not endorse or guarantee the accuracy or reliability of any content shared via the Chat Service. We may, but are not obligated to, monitor or moderate chat exchanges and may remove content or suspend accounts that violate these Terms or are otherwise inappropriate.

You understand that any information you share over the Chat Service may be visible to other users and cannot be fully guaranteed as secure. Use caution when sharing personal or sensitive information.

To the maximum extent permitted by law, Pongverse will not be liable for any damages arising from your use of the Chat Service or from content exchanged through it.

10. Intellectual Property

All intellectual property rights in and to the Pongverse Platform, Pongverse Spaces, and any related materials (including patents, copyrights, trademarks, designs, trade secrets, and service marks) are owned by or licensed to Pongverse.

You agree:

• To comply with all applicable intellectual property laws;

• Not to reproduce, modify, distribute, republish, or create derivative works of any materials on the Pongverse Platform except as allowed by these Terms or with Pongverse’s prior written consent.

“Pongverse”, the Pongverse logo, and other names or marks appearing on the Services are trademarks or service marks of Pongverse. You may not use them without our prior written permission.

Pongverse may deploy technological measures to prevent unauthorized use of the Platform. You agree not to attempt to circumvent such measures.

11. Additional Restrictions on Use

You agree not to:

1. License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the Services or any part thereof to any third party;

2. Create derivative works based on the Pongverse Platform;

3. Frame, mirror, or create internet links to the Pongverse Platform on any other server or device;

4. Reverse engineer any part of the Pongverse Platform or access it to build a competing product or service or copy features or graphics;

5. Launch automated programs or scripts (such as bots, crawlers, spiders, etc.) that make excessive requests or interfere with the Platform’s performance.

You further agree not to:

• Send spam or unsolicited communications;

• Upload or send unlawful, obscene, defamatory, or infringing content;

• Upload malware, viruses, worms, Trojan horses, or other harmful code;

• Interfere with the integrity or performance of the Pongverse Platform or Pongverse Spaces;

• Attempt to gain unauthorized access to the Platform, Spaces, or related systems.

Pongverse reserves the right to investigate and take appropriate legal action for any breach and may cooperate with law enforcement authorities as required.

12. SMS Messaging

With your consent, Pongverse may send you SMS or push notifications related to:

• Bookings and access codes;

• Service updates;

• Promotional messages.

Standard message and data rates may apply.

You may opt-out of marketing SMS by following the instructions in the message (e.g., replying “STOP”), though opting out of certain operational messages may impact your ability to use the Services (for example, receiving door codes).

13. Third-Party Services

The Pongverse Platform and Spaces may provide access to or integrate with third-party services, products, websites, or content (for example, payment processors, building access systems, analytics, advertisements).

Any dealings between you and such third parties—including terms, conditions, and warranties—are solely between you and the third party. Pongverse is not responsible or liable for any third-party services, websites, or content, even if accessed via the Pongverse Platform or Spaces.

You agree to take reasonable precautions in all interactions with third parties encountered through the Services.

14. Indemnity

You agree to release, defend, indemnify, and hold harmless Pongverse and its officers, directors, employees, agents, landlords, tenants, affiliates, and service providers (the “Pongverse Parties”) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

1. Your or your Guests’ misuse of the Services or access to Pongverse Spaces;

2. Your or your Guests’ breach of these Terms;

3. Your or your Guests’ violation of any law or the rights of any third party; or

4. Any damage to a Pongverse Space or related property caused by you or your Guests.

This indemnification obligation survives termination of these Terms and your use of the Services.

15. Disclaimers

THE SERVICES, THE PONGVERSE PLATFORM, PONGVERSE SPACES, AND ALL RELATED CONTENT ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONGVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, RELIABILITY, OR ACCURACY.

Among other things, you acknowledge that:

• Any building access or locking mechanisms may be provided by third parties and Pongverse is not liable for any failure of such systems or resulting loss or theft of property;

• Pongverse may not own or manage the buildings where Pongverse Spaces are located and makes no representations as to the condition or suitability of any building or space for your particular purposes.

Pongverse does not warrant that the Pongverse Platform will be uninterrupted, secure, or error-free, or that defects will be corrected, or that the Platform is free from harmful components.

Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure), including acts of God, natural disasters, power or internet failures, acts of war, terrorism, civil unrest, labor disputes, or similar events.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PONGVERSE PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL PONGVERSE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PONGVERSE FOR USE OF THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) [FIFTY (50) UNITS OF APPLICABLE CURRENCY – e.g., €50].

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, some of the above limitations may not apply, and Pongverse’s liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability for gross negligence, fraud, or any other liability that cannot be excluded under applicable law.

17. Notices

Pongverse may provide notices to you via:

• Email to the address associated with your Account;

• In-app or on-site notifications; or

• Posting on the Site.

You may send legal notices or complaints to Pongverse at:

Notices will be deemed received when actually received by Pongverse.

18. Governing Law; Jurisdiction and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Berlin, Germany, without regard to its conflict of law principles.

Subject to any mandatory local consumer protection rules, the parties agree that any dispute arising under or in connection with these Terms or the Services will be submitted to [arbitration body or court, e.g., courts of Berlin, Germany, or a specified arbitration institution] as follows:

• [Option A – Court only]: The parties submit to the exclusive jurisdiction of the courts located in Berlin, Germany.

• [Option B – Arbitration]: Any dispute shall be finally resolved by binding arbitration administered by [Arbitration Institution] in Berlin, Germany and judgment on the award may be entered in any court of competent jurisdiction. Class actions and representative proceedings are waived to the fullest extent permitted by law.

19. Termination

Pongverse may, in its sole discretion and without liability, suspend or terminate:

• Your Account; and/or

• Access to all or part of the Services,

at any time, for any reason, including for actual or suspected breach of these Terms, illegal conduct, or inactivity.

You may terminate your Account at any time by:

• Deleting the Application from your devices; and/or

• Contacting us at [terms@pongverse.com] with a request to close your Account.

Sections that by their nature should survive termination (including, without limitation, payment obligations, limitations of liability, disclaimers, indemnities, and dispute resolution provisions) shall survive.

20. General

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Pongverse.

You may not assign or transfer these Terms or any rights or obligations hereunder without Pongverse’s prior written consent. Pongverse may assign or transfer its rights and obligations under these Terms, in whole or in part, without your consent (for example, to an affiliate or in connection with a merger, acquisition, or asset sale).

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

No failure or delay by Pongverse in exercising any right or remedy under these Terms shall be deemed a waiver of such right or remedy.

These Terms constitute the entire agreement between you and Pongverse regarding the Services and supersede all prior or contemporaneous agreements or communications.

21. Health, Safety, and Assumption of Risk (Including Infectious Diseases)

You understand that participating in physical activities, including playing table tennis in Pongverse Spaces, carries inherent risks of injury or illness. You agree to use the Services responsibly and in accordance with any safety rules posted by Pongverse or required by public health authorities.

You acknowledge that Pongverse:

• Cannot guarantee that any Pongverse Space is free from viruses, bacteria, or other pathogens (including COVID-19 or other infectious diseases);

• Does not make any representation that no infected person has visited a Pongverse Space.

To the extent permitted by law, you voluntarily assume all risks associated with using Pongverse Spaces, including risks of exposure to infectious diseases. You agree to follow any reasonable health and safety measures that Pongverse or relevant authorities may implement (for example, mask policies, hygiene rules, or occupancy limits).

Subject to applicable law, you release and discharge the Pongverse Parties from any claims or losses arising from or related to illness or infection (including COVID-19 and other communicable diseases) allegedly resulting from your or your Guests’ visit to a Pongverse Space, except where caused by Pongverse’s intentional misconduct or gross negligence.
